Our Restructuring and Advisory Division advises on sale of the globally renowned leader in the design of medical manikins – Lifecast Body Simulation Ltd – to 3B Scientific, based in Germany

Experts from our Restructuring and Advisory Division have advised the shareholders of London-based Lifecast Body Simulation on its sale to 3B Scientific, a global provider of state-of-the-art medical simulators, based in Hamburg. The transaction was successfully delivered by our Restructuring and Advisory Division’s Corporate Finance team led by Managing Director Ian Barton and Manager Richard Hill, who were supported by Assistant Manager Tom Egan.

The Restructuring and Advisory Division team undertook a strategic marketing process, which identified 3B Scientific as a strong fit to accelerate the company’s growth and innovation, and then project managed the complex transaction through to completion.  Lifecast is one of several cross-border transactions that the team has completed in the past few months.

Launched in 2017, Lifecast has invested heavily into the development of a range of highly accurate and lifelike medical manikins which are transforming the way medical simulation and education are delivered and absorbed. Designed and produced at Elstree Film Studios in London and in Sarasota, Florida, every manikin demonstrates a remarkable level of realism and quality.  Lifecast has been developed using a combination of expertise from paramedics, leading medical experts and the film special effects industry.

Lifecast manikins are anatomically correct, with a range of models reflecting the entire family, from pre-term babies through to elderly adults. With different genders, ethnicities and medical conditions, Lifecast manikins better represent the world’s diverse population and improve learning outcomes.  The manikins are used by medical training institutions all over the world.

This acquisition enables 3B Scientific to secure access to the market-leading and complementary product portfolio, and is expected to provide Lifecast with additional resources to further invest in its product range and build on existing sales channels.

Dave Halliwell, co-founder and director of Lifecast, commented: “With 3B Scientific’s expertise and cutting-edge technologies, we are taking our product pipeline to the next level, ensuring we bring the best solutions to the market. By joining forces with 3B Scientific we are not only expanding our distribution reach but also gaining access to a wealth of knowledge and resources. Together, we aim to revolutionise the industry and make a lasting impact on the way healthcare professionals are trained.

Ian and Richard’s advice, support and persistence were essential and generated real value for the shareholders in what has been a complex deal.  With many intricacies to navigate, their pragmatic approach to solving challenges as they arise has been extremely valuable and greatly appreciated.

We would like to thank the team for their hands-on advice throughout the process, handling a variety of challenges in a robust and supportive manner and would not hesitate to recommend them to prospective clients.”

Ian Barton, Our Restructuring and Advisory Division Corporate Finance Managing Director said: “It has been a real pleasure working with Dave, Rob, John and Tristan and the wider Lifecast team to achieve this sale to 3B Scientific.

The Lifecast team has created an exceptional product range and recognition must be given to the team for this innovation, combining extraordinary creativity and craftsmanship with leading medical knowledge. With 3B Scientific, Lifecast is well-placed to take the business forward and create further advancements in the medical simulation industry.

Richard and I are really pleased to have delivered this transaction – we look forward to seeing the team’s continued and combined success alongside 3B Scientific in the coming years.”

Our Restructuring and Advisory Division team worked with Adam Dowdney, Tim Cargill and Fiona Kelleher of IBB Law LLP to deliver the transaction.

Todd A. Murray (CEO), John M. Radak (Executive Vice President, COO & CFO) and Conor M. Soravilla (Director, Corporate Development) led the transaction for 3B Scientific. The 3B Scientific team was supported by Gateley Legal and Hazlewoods LLP.

Todd A. Murray commented: “Lifecast Body Simulation is a globally recognised brand, respected for their hyper-realistic, diverse manikins, and track record of constant innovation. We are extremely excited to welcome Lifecast into the 3B Scientific family, where combined with our strength in manufacturing and distribution, we look forward to continuing our now collective mission of advancing the delivery of medical and healthcare education worldwide.”
